B1CLASS Affiliate Program Terms of Service

1. Introduction

These Affiliate Program Terms of Service ("Affiliate Terms") govern your participation in the B1CLASS Affiliate Program. The Affiliate Program is operated by B1CLASS LTD ("we," "us," or "our"), registered in the United Kingdom (Company Number 16130788), with its registered office at 71-75, Shelton Street, Covent Garden, London, WC2H 9JQ, UNITED KINGDOM.

By registering for and participating in our Affiliate Program, you ("Affiliate," "you," or "your") agree to be bound by these Affiliate Terms. These Affiliate Terms are in addition to our general Terms of Service, which are incorporated by reference.

2. Program Eligibility

2.1 Eligibility Requirements

  • You must be at least 18 years old
  • You must have a valid email address and payment information
  • You must complete the Affiliate Program registration process
  • You must comply with all applicable laws and regulations

2.2 Eligible Participants

The Affiliate Program is open to:

  • German language teachers
  • Language learning content creators
  • Education bloggers and influencers
  • Other individuals or entities promoting German language education

3. Commission Structure and Payment

3.1 Fixed Commission Rates

  • Basic rate: €10 per sale
  • Volume tier 1 (5+ sales per month): €12 per sale
  • Volume tier 2 (10+ sales per month): €15 per sale

3.2 Fixed Commission Benefits

  • Commissions are fixed amounts regardless of promotional discounts or sale prices
  • Student discount through affiliate codes: 10% off any price, including on top of existing promotions
  • Commission rates remain constant during promotional periods

3.3 Tracking and Attribution

  • Each Affiliate receives a unique discount code for tracking purposes
  • Commissions are earned when a customer makes a qualifying purchase using your discount code
  • Tracking links are available upon request for advanced users
  • Attribution is based on the discount code used at checkout
  • Commission tracking is automated through our affiliate system

3.4 Payment Terms

  • Minimum payout threshold: €50
  • Payment frequency: Monthly (for balances above threshold)
  • Payment methods: Bank transfer or PayPal
  • Commission becomes payable 30 days after the sale to account for potential refunds
  • Payment processing occurs within 15 business days after the end of each month

3.5 Commission Adjustments

  • Commissions will not be paid on fraudulent transactions or purchases that result in chargebacks
  • Commissions on refunded purchases will be deducted from future payments
  • We reserve the right to withhold payment pending verification of legitimate sales

4. Affiliate Obligations

4.1 Promotional Guidelines

  • You must clearly disclose your affiliate relationship with B1CLASS in accordance with applicable laws
  • You may use approved promotional materials or materials that comply with our brand guidelines
  • You must not make false or misleading claims about B1CLASS or our services
  • You must not guarantee exam success or certification results

4.2 Prohibited Activities

You agree not to:

  • Engage in spamming or unsolicited commercial communications
  • Bid on B1CLASS-related keywords in paid search campaigns
  • Use the B1CLASS name or variations in domain names
  • Create fake accounts or engage in fraudulent activities to generate commissions
  • Share your affiliate code publicly on discount/coupon websites
  • Purchase B1CLASS subscriptions through your own affiliate link

4.3 Material Usage

  • You may use approved B1CLASS marketing materials provided in your affiliate dashboard
  • You may not modify these materials without written permission
  • You may not use B1CLASS intellectual property except as expressly permitted

5. Term and Termination

5.1 Term

The term of this agreement begins upon your acceptance into the Affiliate Program and continues until terminated.

5.2 Termination

  • Either party may terminate this agreement at any time with written notice
  • We may terminate your participation immediately if you violate these Affiliate Terms
  • Upon termination, you must cease using all B1CLASS marketing materials
  • Any pending qualified commissions will be paid according to the payment schedule

5.3 Modifications

We reserve the right to modify these Affiliate Terms at any time by posting updated terms. Continued participation constitutes acceptance of the modified terms.

6. Confidentiality

You agree to keep confidential any non-public information provided by B1CLASS, including but not limited to commission rates, marketing strategies, and future offerings.

7. Relationship of Parties

You are an independent contractor and nothing in these Affiliate Terms creates any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and B1CLASS.

8. Limitation of Liability

To the maximum extent permitted by law, B1CLASS LTD shall not be liable for:

  • Indirect or consequential damages
  • Lost profits or revenue
  • Service interruptions affecting the affiliate system
  • Changes to the Affiliate Program or commission structure

9. Indemnification

You agree to indemnify and hold harmless B1CLASS, its officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses arising from your participation in the Affiliate Program or violation of these Affiliate Terms.

10. Governing Law

These Affiliate Terms are governed by the laws of the United Kingdom. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Entire Agreement

These Affiliate Terms constitute the entire agreement between you and B1CLASS regarding your participation in the Affiliate Program and supersede any prior agreements.
